SoulMinter Affiliate Program Terms and Conditions

1. Introduction to the SoulMinter Affiliate Program

Welcome to the SoulMinter Affiliate Program (the "Program"). This Program allows individuals and entities ("Affiliates" or "you") to earn a referral fee by promoting SoulMinter's token creation services to new users. By participating in this Program, you agree to be bound by these SoulMinter Affiliate Program Terms and Conditions ("Affiliate Terms"), in addition to the SoulMinter Terms of Service, Privacy Policy, and Disclaimer, all of which are incorporated herein by reference. Please read these Affiliate Terms carefully before participating in the Program. If you do not agree to these Affiliate Terms, you must not participate in the Program.

2. Nature of the Affiliate Program: Simple Referral

The SoulMinter Affiliate Program is designed as a simple referral incentive program. Its sole purpose is to reward Affiliates for successfully introducing new users to the SoulMinter Platform who then utilize our token creation services. This Program is a marketing and promotional initiative and is explicitly NOT a financial service, investment scheme, securities offering, or any form of regulated financial activity.

SoulMinter does not:

  • Provide Investment Advice or Financial Products: We do not offer, promote, or sell any financial products, investment opportunities, or securities through this Program. The referral fee is a compensation for marketing efforts, not a return on investment or a share of profits from any financial instrument.
  • Act as a Broker or Dealer: Affiliates are not acting as brokers, dealers, or financial advisors on behalf of SoulMinter. Your role is limited to referring potential users to our technical token creation service.
  • Manage or Custody Funds: SoulMinter does not manage or take custody of any funds or crypto-assets on behalf of Affiliates or referred users within the scope of this Program.

3. Eligibility and Enrollment

To be eligible to participate in the SoulMinter Affiliate Program, you must:

  • Be at least 18 years of age and have the legal capacity to enter into these Affiliate Terms.
  • Comply with all applicable laws and regulations in your jurisdiction regarding marketing, advertising, and participation in referral programs.
  • Have a Solana-compatible wallet address to receive referral fees.

To enroll in the Program and receive your unique referral link, you must explicitly accept these Affiliate Terms on the SoulMinter Platform. Only upon acceptance will your wallet address be registered as an Affiliate in our database, and your unique referral link generated. SoulMinter reserves the right, in its sole discretion, to approve or reject any application for Program participation, or to terminate an Affiliate's participation at any time, for any reason, including but not limited to non-compliance with these Affiliate Terms or the SoulMinter Terms of Service.

4. Referral Mechanism and Tracking

Upon successful enrollment in the Program and acceptance of these Terms, SoulMinter will provide you with a unique referral link associated with your wallet address. You can share this link with potential new users. When a new user clicks your referral link, visits the SoulMinter Platform, and successfully completes a token creation transaction, you may be eligible for a referral fee.

  • Hybrid Tracking System: Referrals are tracked using a hybrid system that combines cookies and database storage for maximum reliability. When someone clicks your affiliate link, we store the referral relationship in a cookie (with user consent) and later create a permanent database record when they connect their wallet. This ensures referrals are tracked even if users navigate away from the initial page before connecting their wallet.
  • Cookie Consent: Our tracking system requires user consent for affiliate tracking cookies. If users disable affiliate tracking cookies through our cookie consent system, we may still be able to track through direct database methods, but tracking reliability may be reduced.
  • New User Definition: A "new user" is defined as an individual or entity who has not previously used SoulMinter's token creation services and connects their wallet to the Platform for the first time via your unique referral link.
  • First-Click Priority: We use a "first-click priority" system. The first affiliate link clicked by a user will be permanently attributed as their referrer, even if they click other affiliate links later. This attribution is stored in both our cookie system and database, ensuring fair attribution regardless of when the user actually connects their wallet or creates a token.
  • Cookie Expiration: Referral cookies are set to expire after 7 days. This means if someone clicks your affiliate link but doesn't connect their wallet immediately, they have up to 7 days to return and create a token while still being attributed to you.
  • Final Attribution: SoulMinter's tracking system's decision on attribution is final and binding.

5. Referral Fees and Payouts

Affiliates will earn a referral fee for each successful token creation transaction completed by a new user referred through their unique link. The specific referral fee percentage or amount will be clearly communicated to you upon enrollment in the Program and may be updated by SoulMinter from time to time. Any changes to the referral fee structure will be effective immediately upon posting on the Platform or notification to Affiliates.

  • Lifetime Commissions: You earn commissions for life with no expiration date. Once you refer a user to SoulMinter, you will receive referral fees for EVERY token they create for the rest of their life, as long as SoulMinter continues to exist. There are no time limits, no expiration dates, and no maximum number of commissions per referred user. Please note that in this context forever means as long as the site and database exists.
  • Calculation: Referral fees are calculated based on the net fee paid by the referred user for the token creation service, excluding any network transaction fees (gas fees) or other third-party costs.
  • Instant Payouts: Referral fees are paid instantly to your designated Solana-compatible wallet address upon the successful completion of an eligible token creation transaction by a referred new user. There is no accumulation period or minimum payout threshold.
  • Non-Refundable Fees: If a referred user's token creation transaction is reversed or refunded for any reason, the corresponding referral fee will be deducted from your future payouts or may require a return of the disbursed amount.
  • No Guarantees: SoulMinter makes no guarantee regarding the amount of referral fees you will earn. Your earnings depend entirely on your promotional efforts and the successful utilization of our services by referred users.

6. Affiliate Responsibilities and Prohibited Activities

6.1. General Responsibilities

As an Affiliate, you are solely responsible for:

  • Truthful and Accurate Promotion: Ensuring that all your promotional activities and content are truthful, accurate, and not misleading. You must not make any claims about SoulMinter or its services that are false, exaggerated, or not explicitly stated on the official SoulMinter Platform.
  • Compliance with Laws: Complying with all applicable laws, regulations, and industry best practices related to advertising, marketing, and data privacy in your jurisdiction. This includes, but is not limited to, consumer protection laws, anti-spam laws, and disclosure requirements for affiliate relationships.
  • Clear Disclosure: Clearly and conspicuously disclosing your affiliate relationship with SoulMinter in all promotional content. This means making it obvious to potential users that you may receive a commission if they use our services through your link. Examples of acceptable disclosures include: "As a SoulMinter Affiliate, I may earn a commission from qualifying purchases." or "#ad #SoulMinterPartner".
  • Tax Obligations: Determining and paying any taxes applicable to the referral fees you earn through this Program.

6.2. Prohibited Activities

Affiliates are strictly prohibited from engaging in any of the following activities:

  • Misleading or Deceptive Practices: Engaging in any form of deceptive, misleading, or unethical marketing practices, including but not limited to: keyword stuffing, typosquatting, or making false promises.
  • Spamming: Sending unsolicited emails, messages, or engaging in any form of spamming to promote SoulMinter.
  • Brand Bidding: Bidding on SoulMinter's brand name, trademarks, or any variations thereof in search engines or other advertising platforms.
  • Illegal or Unethical Content: Promoting SoulMinter on websites or platforms that contain illegal, offensive, harmful, or unethical content, including but not limited to pornography, hate speech, or content that infringes on intellectual property rights.
  • Self-Referrals: Using your own referral link to create tokens for yourself or entities you control.
  • Fraudulent Activity: Any activity that SoulMinter, in its sole discretion, deems to be fraudulent or manipulative.
  • Representing as an Employee or Agent: Implying or representing that you are an employee, agent, or legal representative of SoulMinter.
  • Offering Financial Advice: Providing any financial, investment, or legal advice related to crypto-assets or token creation. Your role is purely promotional.

Violation of these prohibited activities may result in immediate termination from the Program, forfeiture of any unpaid referral fees, and potential legal action.

7. Intellectual Property

SoulMinter grants you a limited, non-exclusive, non-transferable, revocable license to use SoulMinter's trademarks, logos, and marketing materials solely for the purpose of promoting the Platform within the scope of this Program. You agree not to modify, alter, or misuse any of SoulMinter's intellectual property. All intellectual property rights in SoulMinter's brand and Platform remain solely with SoulMinter.

8. Disclaimers and Limitation of Liability

THE SOULMINTER AFFILIATE PROGRAM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SOULMINTER DOES NOT WARRANT THAT THE PROGRAM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR PARTICIPATION IN THE PROGRAM IS AT YOUR SOLE RISK.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOULMINTER SHALL NOT BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR PARTICIPATION IN THE AFFILIATE PROGRAM. IN NO EVENT SHALL SOULMINTER'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE PROGRAM EXCEED THE TOTAL REFERRAL FEES PAID TO YOU IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless SoulMinter, its affiliates, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your participation in the Affiliate Program, including but not limited to your promotional activities, your breach of these Affiliate Terms, or your violation of any applicable laws or regulations.

10. Termination

SoulMinter may terminate your participation in the Affiliate Program at any time, with or without cause, by providing written notice. Upon termination, you must immediately cease all promotional activities and remove all SoulMinter intellectual property from your platforms. Any referral fees earned prior to the termination date, and not subject to forfeiture due to a breach of these Affiliate Terms, will be paid out immediately or in the next available transaction.

11. Governing Law and Dispute Resolution

These Affiliate Terms shall be governed by and construed in accordance with the laws of a jurisdiction to be determined by SoulMinter, without regard to its conflict of law principles. Any disputes arising out of or relating to these Affiliate Terms shall be resolved in accordance with the dispute resolution provisions outlined in the main SoulMinter Terms of Service.

12. Miscellaneous

12.1. Entire Agreement

These Affiliate Terms, together with the SoulMinter Terms of Service, Privacy Policy, and Disclaimer, constitute the entire agreement between you and SoulMinter regarding your participation in the Affiliate Program.

12.2. Changes to Affiliate Terms

SoulMinter reserves the right to modify these Affiliate Terms at any time. We will notify you of any material changes by posting the updated terms on the Platform or by email (if an email address is provided voluntarily for notifications). Your continued participation in the Program after such modifications constitutes your acceptance of the revised terms.

12.3. Severability

If any provision of these Affiliate Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.

12.4. Non-Assignment

You may not assign or transfer your rights or obligations under these Affiliate Terms without SoulMinter's prior written consent.
