The Platform is operated by ROTH MATE EV, a Hungarian sole proprietorship (egyéni vállalkozó), tax number 91818627-1-28 ("SoulMinter", "we," "us," or "our"). All information on the Platform is provided in good faith, however, we make no representation or warranty of any kind, express or implied, regarding the accuracy, adequacy, validity, reliability, availability, or completeness of any information on the Platform. UNDER NO CIRCUMSTANCES SHALL WE HAVE ANY LIABILITY TO YOU FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF THE PLATFORM OR RELIANCE ON ANY INFORMATION PROVIDED ON THE PLATFORM. YOUR USE OF THE PLATFORM AND YOUR RELIANCE ON ANY INFORMATION ON THE PLATFORM IS SOLELY AT YOUR OWN RISK.

2. Software Tool Only — Not Financial, Investment, or Legal Advice

SoulMinter is a non-custodial software interface that lets you publish and administer your own SPL / Token-2022 mints on the Solana blockchain. The Platform builds Solana transactions from parameters you supply and submits them using your connected wallet. We never hold your keys, your SOL, or the tokens you create. We are not a financial institution, investment adviser, broker, exchange, custodian, transfer service, placement service, fund manager, legal counsel, or tax adviser.

Nothing on the Platform constitutes a solicitation, recommendation, endorsement, or offer by SoulMinter to buy, sell, hold, or otherwise transact in any crypto-asset, security, or other financial instrument. Any descriptions of token functionality, blockchain mechanics, fee structures, or general market context are for informational purposes only and are not advice. Seek independent professional advice from a licensed adviser before making any financial decision.

3. We Are Not a CASP, VASP, or Issuer

SoulMinter is not a Crypto-Asset Service Provider ("CASP") within the meaning of Regulation (EU) 2023/1114 ("MiCA"). The Platform does not provide, and is not held out as providing, any of the crypto-asset services listed in Article 3(1)(16) MiCA — i.e. custody and administration of crypto-assets, operation of a trading platform, exchange of crypto-assets for funds or for other crypto-assets, execution of orders, placing of crypto-assets, reception and transmission of orders, advice, portfolio management, or transfer services for crypto-assets on behalf of clients. We hold no client funds, run no order book, route no orders, place no tokens, and give no recommendations.

We are also not the issuer or offeror of any token created using the Platform. The mint, freeze, and update authorities are vested in the wallet you control. You alone choose your token's name, symbol, supply, parameters, marketing, distribution, and economics. If your token qualifies as a crypto-asset, an asset-referenced token, an e-money token, a security, or any other regulated instrument under EU or local law, the corresponding whitepaper, marketing-communications, authorisation, and disclosure obligations rest entirely with you. SoulMinter has no such obligations and assumes none.

Service fees in SOL are charged for the use of the software interface and to cover infrastructure costs. They are not custody, exchange, placement, or any other regulated service.

4. Risks Associated with Crypto-Assets

THE USE OF CRYPTO-ASSETS AND INTERACTION WITH BLOCKCHAIN TECHNOLOGIES INVOLVES SIGNIFICANT RISKS. YOU ACKNOWLEDGE AND AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR ASSESSING AND BEARING THE RISKS ASSOCIATED WITH THE USE OF THE PLATFORM AND THE CREATION, MANAGEMENT, HOLDING, AND TRANSFER OF CRYPTO-ASSETS. THESE RISKS INCLUDE, BUT ARE NOT LIMITED TO:

  • Irreversible Technical Actions: The Platform allows you to perform critical management functions, such as revoking Mint, Freeze, or Update Authority, and finalising Token-2022 extensions. These actions are irreversible on the Solana blockchain. Once executed, neither you, nor SoulMinter, nor anyone else can undo them. You are solely responsible for understanding the consequences of each action before signing.
  • Market Volatility: The prices of crypto-assets are extremely volatile and can fluctuate significantly and rapidly. You may lose all or a substantial portion of any value committed.
  • Regulatory Risk: The regulatory landscape for crypto-assets — including MiCA, national implementations, securities, consumer-protection, AML/CTF, and tax regimes — is uncertain, evolving, and varies significantly across jurisdictions. Changes may impact the legality, usability, or value of crypto-assets or related services. You are solely responsible for understanding and complying with all laws applicable to you.
  • Technological Risks: Risks associated with the Solana blockchain, smart contracts, software bugs, network congestion or halts, validator behaviour, and potential exploits. These risks could lead to loss of funds or service disruption.
  • Security Risks: Risks of cyberattacks, hacking, phishing, malware, key compromise, or other security breaches that could compromise your wallet, private keys, or other digital assets. SoulMinter does not store your private keys or have access to your wallet.
  • Liquidity Risk: A token you create may have very limited liquidity, or no liquidity at all.
  • Loss of Access: Loss of private keys or seed phrases results in permanent loss of access to your crypto-assets, and we cannot recover them.
  • Metadata Risk: The Platform routes metadata to third-party decentralised storage networks (Lighthouse, with Pinata and Arweave as fallbacks). We do not operate these networks and are not liable for any unavailability, decay, corruption, or discontinuation of those services.
  • Counterparty Risk: Risks associated with third-party service providers (wallet providers, RPC providers, storage networks, etc.) that are beyond SoulMinter's control.

5. Non-Custodial Nature

SoulMinter is non-custodial. This means:

  • We do not hold, store, pool, or have access to your private keys, seed phrases, or any crypto-assets.
  • You retain full and exclusive control over your wallet and all assets within it at all times.
  • Every transaction initiated through the Platform — for creation or management — is constructed client-side and signed and broadcast from your connected wallet.
  • We are not responsible for any loss of funds due to compromised private keys, wallet malfunctions, user error, or any third-party service.

6. You Are Solely Responsible for Compliance

By using SoulMinter to create, manage, or modify tokens — including tokens originally created on other platforms — you acknowledge and agree that you alone are responsible for ensuring that:

  • the token you create or manage, and every subsequent activity related to it (public offering, sale, distribution, marketing, listing, promotion), complies with every law applicable in every relevant jurisdiction, including MiCA, national implementations, securities, derivatives, commodities, consumer-protection, AML/CTF, sanctions, tax, advertising, intellectual-property, and data-protection laws;
  • you have obtained all necessary legal, regulatory, and tax advice regarding your token activities;
  • you are not subject to any sanctions list and are not located in any jurisdiction where your activity is prohibited.

SoulMinter does not vet, monitor, endorse, validate, or approve the legality, classification, or regulatory compliance of any token created or managed on the Platform. Our service is limited to providing the technical means for you to interact with the Solana blockchain.

7. External Links Disclaimer

The Platform may link to or interoperate with third-party websites, wallets, RPC endpoints, storage networks, or other services that are not provided or maintained by SoulMinter. We do not guarantee the accuracy, relevance, timeliness, security, or completeness of any third-party content or service, and we have no control over and assume no responsibility for their content, terms, privacy practices, availability, or security.

8. Limitation of Liability

As further detailed in our Terms of Service, SoulMinter and its affiliates, directors, employees, agents, suppliers, or licensors shall not be liable for any direct, indirect, punitive, incidental, special, consequential, or exemplary damages — including without limitation damages for loss of profits, goodwill, use, data, metadata, or other intangible losses — arising out of or relating to your use of, or inability to use, the Platform or any crypto-asset created or managed through it. Nothing in this Disclaimer excludes or limits any liability that cannot be excluded or limited under applicable mandatory law.
